Terms of Service

These Terms of Service ("Terms") are a contract between you and Orinda Labs LLC ("Orinda Labs", "we") for use of Raplo Capture (the "Service"). By creating an account or using the Service, you agree to these Terms. If you're agreeing on behalf of a business, you confirm you're authorized to bind it.

1. The Service

Raplo Capture lets you scan badges and business cards, organize the leads you collect at events, and export them. We may add, change, or remove features over time.

2. Your account

You're responsible for your account, keeping your sign-in details secure, and for everything done under your account. Tell us promptly if you suspect unauthorized use. You must be at least 18 and use the Service for a business purpose.

3. Subscriptions, billing, and cancellation

• Paid plans are billed in advance on a recurring basis (monthly or annually) through our third-party payment processor. Fees are shown at checkout.
• Subscriptions renew automatically at the end of each term until you cancel.
• You can cancel anytime; cancellation takes effect at the end of the current billing period, and you keep access until then.
• Except where required by law, payments are non-refundable and we don't provide credits for partial periods.
• We may change pricing or plans on reasonable notice; changes apply to the next billing period.

4. Your data and your responsibilities

You own the leads and content you capture ("Your Data"). You grant us the limited rights needed to host, process, and provide the Service to you. As between you and Orinda Labs, you are responsible for Your Data — including having any consent and legal basis needed to collect and use the personal information of the people you scan, and for recording conversations only where permitted and with consent. Our handling of personal information is described in our Privacy Policy.

5. Acceptable use

Don't use the Service to break the law, infringe others' rights, send spam, upload malware, collect data without a lawful basis, or interfere with or reverse-engineer the Service. We may suspend accounts that put the Service or others at risk. To report a security issue or suspected unauthorized access, email support@raplo.ai.

6. Availability and support

We work to keep the Service available but don't promise it will be uninterrupted or error-free. The app is designed to keep working offline and sync when a connection returns. We provide support by email.

7. Intellectual property

The Service, including its software, design, and content (excluding Your Data), belongs to Orinda Labs. These Terms don't grant you any rights in the Service except the right to use it as described here.

8. Third-party services

The Service relies on third parties (for example, payment processing and cloud hosting). We're not responsible for third-party services, and your use of them may be subject to their terms.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent allowed by law. We don't warrant that automatic reading of a badge or business card will be complete or error-free; review your leads before you rely on them.

10. Limitation of liability

To the fullest extent allowed by law, Orinda Labs won't be liable for indirect, incidental, special, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim.

11. Indemnification

You'll defend and indemnify Orinda Labs against claims arising from Your Data or your use of the Service in breach of these Terms or the law.

12. Termination

You can stop using the Service and close your account anytime. We may suspend or terminate access if you breach these Terms or if required to protect the Service. On termination, your right to use the Service ends; you can export Your Data before you close the account, after which we delete it as described in the Privacy Policy.

13. Governing law and changes

These Terms are governed by the laws of the State of [State], USA, without regard to conflict-of-laws rules. We may update these Terms; for material changes we'll update the date above and notify customers. Continued use after changes means you accept them.
